Key responsibilities
· Participation in M&A transactions in various jurisdictions (e.g. Lithuania, Romania, Italy, Switzerland, Poland, Latvia, Estonia, Cyprus, Netherlands): assistance in negotiations with investors, hotel partners, contractors, commercial banks, hotel owners and service providers; preparation and reviewing relevant documents.
· Drafting and reviewing letters of intents, confidentiality agreements, shareholder agreements, investment agreements.
· Various tasks related to corporate governance matters in different European countries(e.g. Lithuania, Romania, Italy, Switzerland, Poland, Latvia, Estonia, Cyprus, Netherlands), including, but not limited to drafting shareholders resolutions, preparing the materials and participating in the board meetings, analysing and establishing different corporate governance processes depending on different European countries, coordinating company’s establishment, dissolution, merger processes, preparation of incorporation documents, power of attorney, etc.
· Provision of comprehensive international corporate secretarial services.
· Company representation in relations with commercial registers, commercial banks, auditors and other state or municipal institutions in various countries.
· Management and control of legal correspondence with business partners worldwide in order to gather information and documentation required to carry out various legal assignments (Legal Due diligence, KYC, AML and other processes).
· Other corporate governance and M&A related matters.
Requirements
· Have Master’s degree in Law.
· Have at least 5 years’ experience as a corporate lawyer.
· Possess a good knowledge and experience in Corporate Law and Commercial Law.
· Have general legal proficiency in dealing with various Contract law issues, including shareholders agreement.
· Demonstrate ability to work independently with little supervision.
· Have excellent communication skills in English and Lithuanian (both verbally and in writing).
· Be highly analytical with a strong attention to detail.
· Be result driven and able to work in a fast-paced environment.

Salary starting from: 3800 – 4200 EUR Gross. The final offer will depend on the experience and competencies.
